Business Terms & Conditions of Sale


1. OUR CONTRACT

1.1 These Terms and Conditions (“Terms”) govern all sales of goods supplied by Housefix Direct Ltd (“we”, “us”, “our”) to you, the business customer (“you”, “your”).

1.2 These Terms apply to all orders placed with us, whether:

  • via our website
  • via trade account portal
  • by telephone
  • by email
  • in person at a trade counter
  • or through any other ordering method we make available

1.3 By placing an order, you are making an offer to purchase goods under these Terms.

1.4 A legally binding contract between you and us is formed only when all of the following occur:

  • we expressly accept your order, and
  • payment has been received in full and cleared, and
  • we confirm allocation, dispatch, or release of goods

1.5 Any order confirmation email, automated acknowledgement, or invoice request does not constitute acceptance of your order.

1.6 We reserve the absolute right to refuse or cancel any order at any stage prior to dispatch without liability to you, including where we reasonably suspect pricing errors, fraud, misuse, or stock limitations.

1.7 These Terms override any terms you may attempt to apply in your own documentation unless agreed in writing by a director of the company.


2. BUSINESS CUSTOMER STATUS & ACCOUNT USE

2.1 You confirm and warrant that you are purchasing goods in the course of a business, trade, or professional capacity, including but not limited to:

  • construction and building trade
  • subcontracting and installation services
  • property maintenance and management
  • resale and distribution of goods
  • landlord or commercial property operations

2.2 You expressly agree that you are not purchasing as a consumer and that consumer rights legislation relating to cancellation or cooling-off periods does not apply to your purchases.

2.3 You agree that Trade Accounts and business purchasing facilities must only be used for legitimate business purposes.

2.4 You must not use a Trade Account for personal, domestic, or non-business purposes under any circumstances.

2.5 You accept full responsibility for all activity conducted under your account, including orders placed by employees, subcontractors, or authorised users.

2.6 We reserve the right to suspend, restrict, or permanently close accounts where misuse, fraud, or non-business use is suspected.


3. ORDERS & ACCEPTANCE

3.1 All orders placed by you are considered an offer to purchase goods subject to these Terms.

3.2 We are under no obligation to accept any order placed by you.

3.3 We may accept, reject, or partially fulfil any order at our sole discretion.

3.4 We may refuse orders for reasons including but not limited to:

  • insufficient stock availability
  • pricing or listing errors
  • suspected fraudulent activity
  • breach of account terms
  • credit or payment risk concerns

3.5 We are not liable for any loss or inconvenience caused by refusal or cancellation of an order.


4. PRICING, VAT & ERRORS

4.1 Prices displayed are correct at the time of publication but may be subject to change without notice.

4.2 Prices may be shown either inclusive or exclusive of VAT depending on account settings or display configuration.

4.3 VAT will always be applied at the applicable rate at the time of invoice, checkout, or supply.

4.4 We reserve the right to correct any pricing errors at any time prior to acceptance of your order.

4.5 In the event of a pricing error, we may:

  • cancel your order and refund you in full, or
  • contact you to confirm whether you wish to proceed at the correct price

4.6 Promotional pricing may be withdrawn or amended at any time without notice.


5. PAYMENT TERMS

5.1 All goods must be paid for in full prior to dispatch or release.

5.2 We do not offer credit terms unless expressly agreed in writing by an authorised representative.

5.3 We are not obliged to process or release any goods until full payment has cleared into our account.

5.4 We reserve the right to perform fraud prevention and identity verification checks prior to accepting payment.

5.5 We may cancel or suspend any order where:

  • payment is declined or reversed
  • suspicious activity is detected
  • verification is not completed
  • chargeback risk is identified

5.6 You are responsible for ensuring sufficient funds and valid payment authorisation.


6. DELIVERY

6.1 Any delivery dates or times provided are estimates only and are not guaranteed unless expressly confirmed in writing.

6.2 We reserve the right to deliver goods in multiple instalments where necessary.

6.3 Risk in the goods passes to you upon delivery to the address provided or collection from our premises.

6.4 It is your responsibility to ensure:

  • the delivery location is accessible and suitable
  • there is safe unloading access
  • adequate facilities exist to receive goods

6.5 We shall not be liable for delays caused by events outside our reasonable control.

6.6 Where delivery fails due to incorrect information, lack of access, or customer unavailability, additional delivery charges may apply.

6.7 We are not responsible for unpacking, installation, fitting, or removal of packaging unless expressly agreed in writing.


7. CLICK & COLLECT / TRADE COUNTER COLLECTION

7.1 Goods may be collected only once order confirmation and payment has been completed.

7.2 We may require verification of identity, payment method, or trade account credentials before release.

7.3 Collection must be made from the selected location only.

7.4 Orders not collected within 21 days may be cancelled at our discretion.

7.5 Uncollected goods may be refunded, credited, or restocked.


8. INSPECTION, DELIVERY CLAIMS & 24-HOUR RULE

8.1 You are required to inspect all goods immediately upon delivery or collection.

8.2 Any claim relating to:

  • damage
  • shortage
  • incorrect items
  • missing components

must be reported to us within 24 hours of receipt.

8.3 After the 24-hour period has expired:

  • goods shall be deemed fully accepted
  • goods shall be deemed correct, complete, and undamaged
  • no claims shall be accepted except at our discretion

8.4 Failure to inspect goods at the point of delivery does not extend this time limit.

8.5 Our delivery records, scanning systems, and courier confirmation shall be deemed conclusive evidence of delivery.


9. RETURNS POLICY

9.1 Returns must be pre-authorised and accompanied by a valid returns reference.

9.2 All returned goods must be:

  • unused
  • in original sealed packaging
  • in resalable condition
  • complete with all accessories

9.3 We reserve the right to reject returns that do not meet these conditions.

9.4 We may apply restocking, handling, or inspection fees.

9.5 We are not obliged to accept returned goods unless they are faulty or incorrectly supplied.


10. NON-RETURNABLE GOODS

Unless faulty, the following are non-returnable:

  • bespoke or made-to-order items
  • cut, mixed, or altered materials
  • installed or partially installed goods
  • clearance or end-of-line stock
  • goods with broken or missing seals

11. MANUFACTURER WARRANTIES

11.1 Certain goods may be supplied with a manufacturer’s warranty or guarantee.

11.2 Such warranties are provided solely by the manufacturer and not by us.

11.3 We accept no responsibility for:

  • warranty claims or refusals
  • manufacturer response times
  • repair or replacement outcomes
  • associated costs or delays

11.4 Some warranties may require registration within a set time period after purchase.

11.5 Failure to register may invalidate warranty entitlement.


12. TITLE & RETENTION OF OWNERSHIP

12.1 Goods remain our property until full payment has been received.

12.2 Until ownership passes, you must:

  • store goods separately
  • ensure goods are identifiable as our property
  • not resell or dispose of goods without authority

12.3 We reserve the right to recover unpaid goods at any time.

12.4 You grant us permission to enter premises (where lawful) to recover goods.

12.5 If goods are resold prior to payment, you hold proceeds on trust for us.


13. LIABILITY

13.1 Nothing in these Terms limits liability for:

  • death or personal injury caused by negligence
  • fraud or fraudulent misrepresentation
  • statutory rights that cannot legally be excluded

13.2 We shall not be liable for:

  • loss of profit
  • loss of revenue or business
  • loss of contracts or goodwill
  • indirect or consequential loss

13.3 Our total liability is limited to the value of goods supplied.

13.4 We accept no liability for installation, fitting, or third-party labour costs.


14. INDEMNITY

14.1 You agree to indemnify us fully against any claims arising from:

  • misuse or improper installation of goods
  • resale or distribution of goods
  • breach of these Terms
  • third-party claims linked to your use of goods

14.2 This includes all legal costs and enforcement expenses incurred.


15. CANCELLATION & REFUSAL

15.1 We may cancel any order at any time prior to dispatch.

15.2 We may refuse orders due to:

  • stock limitations
  • fraud risk
  • payment failure
  • pricing or listing errors

16. FORCE MAJEURE

We are not liable for delays or failure caused by events outside our reasonable control, including but not limited to supply chain disruption, transport failure, or natural events.


17. DISPUTES, CHARGEBACKS & EVIDENCE

17.1 In any dispute, the following hierarchy of evidence shall apply:

  1. courier tracking and delivery confirmation
  2. signed proof of delivery (where applicable)
  3. warehouse scanning and dispatch logs
  4. order and payment records

17.2 These records shall be deemed accurate and binding unless proven otherwise.

17.3 Delivery confirmation constitutes full acceptance of goods unless reported within the 24-hour inspection period.

17.4 You agree not to initiate chargebacks or payment reversals after delivery has been completed in accordance with these Terms.

17.5 Any chargeback dispute will be defended using delivery evidence and may result in recovery of:

  • chargeback fees
  • administrative costs
  • legal fees
  • collection costs

17.6 You must first contact us directly to resolve any dispute before involving third parties or payment providers.


18. ENTIRE AGREEMENT

18.1 These Terms constitute the entire agreement between the parties.

18.2 No reliance may be placed on verbal statements or prior representations.

18.3 No variation is valid unless confirmed in writing by a director.


19. GOVERNING LAW

These Terms are governed by the laws of England and Wales and subject to the exclusive jurisdiction of the English courts.
